1. Who we are
MarketingHub.ca is a trading name and online brand operated by Dave Groups Inc, a corporation registered in Canada. References to "we", "us" or "our" mean Dave Groups Inc. References to "you" or "client" mean the individual or organization engaging our services.
2. Best-effort service delivery
We commit to delivering the highest quality work that is realistically within our reach for the scope, budget and timeline agreed in your engagement letter or quotation. We bring care, professionalism and accountability to every project, but we aren't a guarantee of specific business outcomes such as revenue, search rankings, traffic, conversions or follower counts. Those depend on many factors outside our direct control, including market conditions, competition, third-party platforms, and your own operations.
3. Limitation of liability
To the maximum extent permitted by applicable Canadian law, Dave Groups Inc and its officers, directors, employees and contractors don't assume liability for indirect, incidental, special, consequential or punitive damages, including lost profits, lost data, business interruption, or damage to reputation, arising from or related to the services we provide.
Our aggregate liability under any engagement is limited to the fees actually paid by you for the specific service that gave rise to the claim during the three (3) months immediately preceding the event.
Nothing in these terms limits liability that can't lawfully be limited under Canadian consumer protection legislation.
4. Use of third-party services
We are a one-window provider that relies on multiple third-party platforms and services to deliver our work. These include (but aren't limited to):
- Hosting infrastructure (e.g. AWS, Cloudflare, DigitalOcean, Netlify, Vercel)
- Domain registrars (e.g. Namecheap, GoDaddy, Cloudflare Registrar)
- Business email providers (e.g. Google Workspace, Microsoft 365)
- CRM, automation and email-marketing platforms (e.g. HubSpot, Zapier, Mailchimp, Klaviyo)
- Analytics and search platforms (e.g. Google Analytics, Google Search Console, Bing Webmaster)
- Social media platforms (Meta, X, LinkedIn, TikTok, Pinterest, YouTube, WhatsApp Business)
- AI providers and APIs (e.g. OpenAI, Anthropic, Google AI, Microsoft)
- Print production and signage partners
Each of these third parties has its own terms, pricing, uptime and policies, which can change without notice. We will use commercially reasonable care in selecting partners, but we aren't responsible for outages, service changes, pricing increases, account suspensions, data losses or feature deprecations originating from third parties.
5. Plan-specific terms
Digital Jumpstart
- Fixed-price package: CA$1,499 (one-time).
- Includes first-year hosting and domain; ownership of the domain transfers to you and remains in your name.
- Annual Maintenance Contract (AMC): CA$365 per year, payable in advance for year two onwards. AMC increases by 10% each renewal year, compounded.
- AMC covers: hosting, SSL renewal, security patching, daily backups, uptime monitoring and up to 2 hours per month of minor content edits.
- Major redesigns, additional pages, new functionality, or work outside the Jumpstart scope are quoted separately.
- Email mailbox costs charged through to Google Workspace / Microsoft 365 at their published rates.
Digital Smart Presence
- Fixed-price package: CA$3,499 (one-time).
- Includes first-year hosting and domain; domain remains in your name.
- Annual Maintenance Contract (AMC): CA$365 per year, payable in advance for year two onwards. AMC increases by 10% each renewal year, compounded.
- AMC covers: hosting, SSL, security patching, daily backups, uptime monitoring, monthly SEO health check, and up to 4 hours per month of content edits.
- Email marketing platform fees (Mailchimp, Klaviyo, or similar) billed by the provider directly to you, or passed through at cost.
Digital Business Pro
- Fixed-price package: CA$6,999 (one-time).
- Includes first-year hosting and domain; domain remains in your name.
- Annual Maintenance Contract (AMC): CA$499 per year, payable in advance for year two onwards. AMC increases by 10% each renewal year, compounded.
- AMC covers: priority hosting, SSL, security patching, daily backups, uptime monitoring, monthly SEO health check, ecommerce/automation upkeep and up to 8 hours per month of content edits.
- Business profile setup is one-time configuration; ongoing posting / community management requires the Social Media Management add-on.
- Third-party platform fees (CRM, automation, email, ad spend) are billed by those providers directly to you, or passed through at cost.
Social Media Management add-on
- CA$500 per month, billed monthly in advance. Minimum 3-month engagement.
- Includes 4 posts per calendar month, distributed across Facebook, Instagram and Twitter (X).
- Includes copywriting, basic creative (graphic or short-form video), scheduling and once-weekly community-management response sweep.
- Paid advertising spend, influencer fees, photoshoot production and additional platforms (LinkedIn, TikTok, Pinterest, YouTube) are quoted separately.
6. Payment, refunds & cancellation
50% of project fees are due on engagement; the balance is due before final handover or go-live. AMC and monthly retainer fees are billed in advance and are non-refundable for the current cycle once started, except where required by Canadian consumer protection law. Either party may terminate a retainer with 30 days' written notice; project work in progress will be invoiced for time spent at our standard hourly rate at termination.
All prices are in Canadian Dollars (CAD). Applicable taxes (GST / HST / QST / PST) are added based on the client's province of registration and will appear on every invoice. Out-of-Canada clients are billed without Canadian sales tax.
Quebec consumers (Consumer Protection Act, R.S.Q., c. P-40.1): distance contracts entered into by consumers in Quebec are subject to a 10-day cancellation right from receipt of the written copy of the contract (Articles 54.1–54.16 LPC). The cancellation may be exercised by any clear written notice (email is sufficient). Refund of amounts already paid will be issued within 15 days of cancellation, less any goods/services actually received and not returnable.
Ontario consumers (Consumer Protection Act, 2002, S.O. 2002, c. 30): internet agreements with consumers in Ontario are governed by Sections 38–47 of the CPA. You have a 7-day cancellation right where required disclosures are not provided, and longer rights where the supplier fails to deliver within 30 days of the agreed delivery date.
Business clients: the rights in the two paragraphs above are statutory consumer rights and do not apply to commercial contracts between businesses. Business cancellation is governed by the engagement letter or master services agreement.
7. Ownership of deliverables
On full payment, all final deliverables (source files, design files, code, content) become your property. We retain the right to display non-confidential portfolio work and case studies unless you explicitly opt out in writing.
8. Confidentiality & privacy
We will treat your business information as confidential and won't disclose it to third parties except where necessary to deliver the services (e.g. with hosting providers or other named subcontractors), or where required by law. Our handling of personal information is governed by our Privacy Policy, which forms part of these terms. For Quebec clients, our designated Responsable de la protection des renseignements personnels is identified there.
9. Marketing communications & anti-spam (CASL / CAN-SPAM)
By engaging us, you provide express consent for transactional emails relating to your project. Marketing emails (newsletters, promotions) are sent only on the basis of separate express consent, which you may withdraw at any time using the unsubscribe link in every message or by emailing info@marketinghub.ca. We process unsubscribes within 10 business days, the stricter standard required by Canada's Anti-Spam Legislation (CASL) and the US CAN-SPAM Act of 2003. Every commercial email identifies us by legal name, includes our physical postal address, and provides a one-click unsubscribe.
10. Warranties & limitation of liability
We provide the services with reasonable skill and care. Except for the express warranties set out in your scope or statement of work, services are provided "as is". To the maximum extent permitted by law, our total aggregate liability for any claim arising from or related to the services shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these terms limits liability for gross negligence, wilful misconduct, fraud, death or personal injury, or any other liability that cannot be limited by Canadian law.
11. Governing law & language
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflicts-of-law principles. Disputes will first be addressed through good-faith negotiation; failing that, by mediation in Ontario before any litigation. For Quebec clients, the courts of the District of Montréal have non-exclusive jurisdiction, and consumer protection rights under Quebec law apply notwithstanding any contrary clause. For United States clients, nothing in these terms is intended to waive consumer protection rights available under applicable US federal or state law (including the CCPA / CPRA, VCDPA, CPA, CTDPA, UCPA, TDPSA and CAN-SPAM); US clients may also exercise applicable state-law claims in their state of residence.
Charter of the French Language: a French-language version of the entire website is available via the language selector at the top of every page. Quebec clients have the right to receive their contract documents in French at no charge.
12. Changes to these terms
We may update these terms from time to time. Material changes will be communicated to active clients by email at least 30 days before they take effect. Continued use of our services after the effective date of changes constitutes acceptance of the revised terms.
